Assistant Company SecretaryIndustry: Fintech/ Financial ServicesRole: Permanent, Full TimeLocation: LondonSalary: Competitive + Bonus + BenefitsWFH: Flexible, Hybrid ModelReporting to: CFODirect Reports: N/AAbout the RoleFantastic opportunity for an Assistant Company Secretary to join a thriving team to assist the Group's cross-border entities with company secretarial and corporate governance support. The ideal person will have an entrepreneurial mindset who’s ready to take the next step in their career. In this role day will look the same and the chance to support the company as we scale and grow and get involved in several exciting new projects.ResponsibilitiesProvide advice and support on corporate governance to the business.Provide corporate governance support in relation to all aspects of transactions, including but not limited to, acquisitions, disposals, and divestments relating to the Group.Ensuring projects are compliant with Shareholder and Company policies and approval processes, and local laws and regulations.Act as an advisor to the business regarding the Group’s Delegated Authority Manual and manage the Power of Attorneys workstream.Support the Group’s expansion into new jurisdictions and ensure corporate governance compliance.Act as a trusted advisor to the directors of all Group entities and be their point of contact for all corporate governance and board-related matters.Provide advice to the senior management team and board committees to ensure they have the appropriate information for decision-making.Coordinate and follow through with the execution of all board and shareholder resolutions and minutes.Maintain a systematic database of all group entities board and meeting details.Prepare board resolutions, papers, and minutes.Organise for execution and filing of relevant reports, returns, board papers and other documents.Manage the requirements for file reports and events with the Companies House (UK) and Companies Registration Office (Ireland) and ADGM.Monitor and ensure compliance with the UK, Irish and UAE governance requirements.
Qualifications and ExperienceDegree or similar qualification.Hold, or currently studying for, ICSA qualification would be advantageous.Solid experience in a similar role within the financial services and/or digital assets space.Demonstrated experience coordinating and supporting multiple entities with corporate governance administration and advise.In-depth company secretarial technical knowledge and experience.Strong organisational and minute-taking skills.Experience working in a fast-paced start-up environment would be advantageous.Strong IT Skills (including Office 365, Excel, Word, PowerPoint, SharePoint).Prior experience working with employee share schemes.Proactive and entrepreneurial mindset.Ability to understand and anticipate the needs of stakeholders.Ability to effectively coordinate a board of directors and committees.Our ambition is simple – to do our best for our people, clients and communities.We are determined to make a positive difference at work and beyond - this starts with hiring the best talent without consideration of race, religion, colour, national origin, age, gender, sexual orientation, marital status or disability.
