Proof of work The team Join our growing, worldwide corporate legal team of more than 12 attorneys and paraprofessionals working on matters such as international corporate structuring, product formation, public company preparedness, and equity financings to further Kraken's mission. The Opportunity Corporate Governance: Support corporate governance matters in the UK and EU: - Preparing for, managing and supporting board meetings, preparing board and shareholder consents, advising on committee, board and management membership requirements, providing corporate support for international licensing efforts and disclosures, and leading geo-entity formation, dissolution, and strategic partnership efforts. - Managing and ensuring compliance with statutory and regulatory requirements in accordance with Irish, UK, and European corporate laws. - Ensuring Board documents and structures adhere to the standards required for regulated financial entities in the UK/EU. - Maintaining up to date corporate records, registers, and documentation. Strong Communication and Cross Functional Collaboration: - Working closely with the UK/EU regulatory teams, the global M/A Team, and EU Privacy legal teams to meet project deadlines and provide accurate advice. - Willing to work to facilitate US time-zone when necessary. - Acting as a point of contact for the European legal team on matters of corporate governance and subsidiary management. - Liaising and instructing external legal counsel and professionals as necessary. - Preparing correspondence, communications, and reports to support the legal team. Skills you should HODL 2+ years of experience as a corporate counsel either in-house or at a law firm; Degree in law and be a fully qualified lawyer in either the UK or another EU jurisdiction; Experience in corporate governance and UK/EU corporate law including some initial M&A experience or experience in setting up entities for the financial services industry; Basic understanding of GDPR and privacy laws within the EU; Strong organizational and multitasking skills; Excellent written and verbal communication skills in English (second European language is a bonus); Attention to detail and a high level of accuracy in record-keeping; Ability to work independently and collaboratively in a fast-paced environment. Nice to Have - Experience with regulated financial services firms - Experience with entity licensing and compliance - Prior in-house experience at a technology company is a plus. - Familiarity with regulatory frameworks and compliance requirements in Ireland, the UK, or other European jurisdictions. - Passion for the crypto industry.
