Carve Out Director (PE Backed Healthcare)

We are partnered with a leading healthcare manufacturing company backed by private equity, with a strong focus on strategic growth and value creation.
The Carve-Out Director will be responsible for overseeing all aspects of the carve-out process, from initial planning and due diligence through execution and post-separation stabilization. This role requires a strategic thinker with deep experience in managing complex carve-outs in private equity-backed environments, preferably within the healthcare manufacturing sector.
Key Responsibilities:
Develop and execute comprehensive carve-out strategies that align with the company’s strategic objectives, focusing on maximizing value and minimizing disruption to ongoing operations.
Lead cross-functional teams through the carve-out process, including finance, operations, legal, IT, HR, and other key departments, to ensure timely and effective execution.
Conduct thorough due diligence to identify potential risks, challenges, and opportunities associated with the carve-out, and develop risk mitigation plans.
Oversee the creation and implementation of detailed separation plans, including financial, operational, and IT considerations, ensuring a smooth transition for the carved-out entity.
Serve as the main point of contact for internal and external stakeholders, providing regular updates on progress, challenges, and key decisions throughout the carve-out process.
Collaborate with finance teams to develop and track budgets, forecast costs, and manage financial aspects of the carve-out, ensuring that financial objectives are met.
Lead change management initiatives to address employee and customer impacts, ensuring clear communication and maintaining engagement throughout the transition.
Coordinate with acquiring parties to facilitate post-separation integration or operational stand-up of the carved-out entity, ensuring continuity of operations and meeting transaction objectives.
Develop and refine carve-out playbooks, processes, and best practices to enhance future transactions and support the company’s strategic goals.
Qualifications:
Experience in carve-outs, divestitures, mergers and acquisitions, or related fields, with a strong preference for experience in private equity-backed or healthcare manufacturing environments.
Proven track record of successfully leading complex carve-out projects from planning through execution, including experience with standalone and transition service agreements (TSAs).
Strong project management skills, with the ability to manage multiple priorities and deadlines in a dynamic and fast-paced environment.
Excellent leadership and interpersonal skills, with the ability to influence and collaborate across all levels of the organization.
Advanced financial acumen, with experience in financial modeling, cost analysis, and value creation strategies.
Exceptional problem-solving skills, with a strategic mindset and a focus on achieving high-impact outcomes.
Superior communication skills, both written and verbal, with the ability to present complex information clearly and persuasively to senior executives, investors, and other stakeholders.
Proficiency with relevant project management and financial software tools.
