Company Secretariat Assistant
We are recruiting for a Company Secretariat Administrator on a contract basis for 6 months. This is a hybrid role, based out of London. You'll support the Company Secretariat and work with the Deputy Company Secretary and Governance Manager to develop, implement and improve the corporate governance structure and processes and manage the operational support provided to governance entities within the organisation to assure high quality outcomes.
The Company Secretariat Assistant will also support the Company Secretary, in providing a full range of company secretarial and related services for the organisation, its Board, Board sub-committees, the Executive Committee and sub-committees in order to minimise exposure and risk.
As a Company Secretariat Administrator, you will need to have/be:
Skills:
- Ablity to manage relationships with multiple internal stakeholders
- Time Management, organisation and prioritisation skills - including the ability to balance adherence to process with the flexibility to assure a successful outcome
- Conflict resolution skills - including the ability to manage competing stakeholder priorities
- Communication Skills - including the ability to liaise with various internal stakeholders, influence and challenge appropriately
- IT skills - including Microsoft office applications
- Information management - ability to manage confidential information appropriately
- Accuracy and version control - including the ability to ensure papers, minutes and briefings are accurate and delivered to deadline
Knowledge:
- Understands 'best practice' for corporate governance in a quasi-government, large, corporate entity.
- Knowledge of board portal software (e.g. BoardPad, Admincontrol, Board Vantage, Board Intelligence etc).
Experience:
- A trainee company secretary (either qualified, or working towards their ICSA qualification) with experience in a sophisticated (preferably regulated) business environment;
- An understanding of corporate governance;
- Experience of board software (ideally Admincontrol);
- Excellent personal communication skills, capable of dealing with a wide range of senior people;
- Effective planning and organising skills to prioritise key areas of responsibility, tasks and projects;
- A team player who is committed, proactive and flexible; and
- Proven ability to establish and maintain a high degree of confidentiality, respect, trust and credibility at all levels.
Details:
- Rate: �145.00 - �194.00 per day (umbrella/inside IR35)
- Working Hours: Full time Monday - Friday
- Location: London/Hybrid (2 days per week in the office)
- Duration: 6 months
Role of Company Secretariat Administrator:
- Assist the Company Secretariat to develop, implement and improve the corporate governance structure and processes; and
- Provide support to governance entities within the organisation to ensure high quality outcomes, right first time.
- Participate in team meetings to provide specialist guidance on governance, to assist colleagues and to enable the implementation of policy, projects and change initiatives.
Meeting support responsibilities will include:
- Organising meetings;
- Assisting with the drafting and issuing of agendas;
- Collation and circulation of meeting papers;
- Assisting with the communication of meeting decisions to the wider business;
- Working with the business to produce and track progress against action points; and acting as a point of contact on administrative matters relating to the organisation of the board and committee
Additional regular company secretarial responsibilities will include:
- Assisting with the drafting of company specific fillings/publications
- Assisting with ad-hoc company secretarial matters (including changes of directors, updating terms of reference, powers of attorney etc) and responding to requests from the business.
