Joining Mimecast s global Legal and Assurance, Risk and Control team, reporting to the Assistant General Counsel for Employment, Product & Corporate Governance, this role is fundamental in providing support with corporate governance and business critical projects within the legal function. What You'll Do: Supporting the Assistant General Counsel with all aspects of the Mimecast s global corporate matters, including company registrations and records, scheduling and recording of board meetings, preparation of board materials and statutory filings; Set up and maintain systems to monitor and report on corporate compliance matters; Collaborate with corporate and regional finance teams to ensure maintenance of accurate and complete company records; Communicate with, and assist the business to ensure key stakeholders are updated on any changes to Mimecast s legal entities; Research, monitor and analyze changes in applicable corporate and company law regulations, statutes, and guidance, as well as industry developments, best practices, and trends; Co-ordinating with outside legal advisors on transactional and corporate governance; Assist the legal leadership team with deliverables associated with mergers and acquisitions; Assisting with new entity formation in relation to global expansion projects; Working with the finance, treasury, accounting and human resource teams on private company employee equity management, capitalization management, debt management, insurance and risk matters; Assisting other members of the legal team with contract template updates and policy reviews; Assisting with ad-hoc legal matters; Collaborating with colleagues within the Legal and Assurance Risk and Control (ARC) teams; Exercising sound, practical business judgement across legal and compliance issues. What You'll Bring: Be able to work independently and often in ambiguous, fast-paced environments while being able to contribute successfully to cross-functional teams; Excellent organizational and time management skills, attention to detail, with the ability to support cross functional teams; Excellent communication and interpersonal skills; Hold the highest standards of ethics and professional integrity; Ability to conduct research and communicate analysis; Ability to support a number of projects that have a significant impact to the team and business under tight deadlines; A strong willingness to learn and develop as your career progresses; Flexibility and willingness to work on a broad variety of legal matters and with a positive attitude; Experience in cybersecurity and SAAS/cloud technology preferable.
