Corporate/M&A Paralegal In-House Are you a diligent and proactive Paralegal looking to make an impact in a dynamic and fast-paced environment? A leading investor in scalable Food Service and Tech companies is seeking a Corporate/M&A Paralegal to join their legal team. About The Firm: They specialize in investing in scalable food service and tech companies, blending capital, brands, and entrepreneurial spirit with an emphasis on people and growth. Their team comprises seasoned entrepreneurs, investors, and food industry operators with extensive industry knowledge and a successful history of sector-focused deal-making. They collaborate with renowned international brands, including Every, Burger King, Popeyes, Sticks N Sushi, and Subway (just to name a few) Role Overview: As a Corporate/M&A Paralegal, you will support their legal team, working closely with their Chief Legal Officer and gaining significant exposure from the outset, duties can include: Collaborate with the Chief Legal Officer, deal teams, and external legal counsel on due diligence processes and deal closings. Assist with entity set-up in multiple jurisdictions, KYC, and AML processes, liaising with overseas counsel. Conduct preliminary reviews of legal documents, including letters of intent, contracts, heads of terms, shareholder agreements, and share purchase agreements. Prepare and manage closing checklists, ensuring all necessary documents are executed and filed correctly. Draft or review ancillary documents such as minutes, resolutions, side letters, service provider agreements, and confidentiality agreements. Manage the firm s NDA process and maintain electronic and physical files. Ensure compliance with the Companies Act 2006, FCA regulations, FCA Appointed Representative requirements, and other relevant UK laws. Prepare and file necessary regulatory documents and monitor regulatory changes. Carry out various corporate administrative processes, including distributing legal documents and agreements for signature, notarizations, apostilles, certified copies, corporate filings, powers of attorney, and other corporate documents. Maintain and update Directors' lists, corporate audit forms, corporate charts, and organize and maintain electronic and physical files. Implement new processes and create operational efficiencies. Monitor and respond to various legal information requests and assist with day-to-day office management tasks. About You: Law degree or equivalent qualification is essential. Ideally a minimum of 2 years of paralegal experience in Corporate or M&A law. Experience in an investment advisory firm or financial services environment is a plus. Knowledge of other European languages (Spanish, French, German, Polish) is also a plus. What We Offer: Competitive salary up to £40K per annum, plus bonuses.
