Overall Purpose of Job
To lead and have responsibility for delivering a comprehensive and effective Corporate Governance service to the Group. To be the Assistant Company Secretary ensuring compliance with statutory, constitutional and regulatory requirements and providing advice on these matters.

As Governance Manager you'll play a key role in ensuring decision making and governance in the organisation is well managed.
You'll have an awareness of the latest thinking, developments and best practice in governance and compliance. You'll promote best practice and help make complex issues easier to understand.
Working closely with our Board and Executive Leadership Team you'll ensure our governance processes run smoothly, and your expertise and passion for governance will help to ensure we remain compliant.
We're looking for someone who has a proven track record in governance, someone who can build upon our existing frameworks to ensure our governance service is first class.
While experience of working in the social housing sector isn't essential, it would be a real bonus – as would a relevant professional qualification, e.g. from the Chartered Governance Institute.
Main Responsibilities
Lead the Governance Team to ensure that a high quality, comprehensive Governance service is delivered to the Boards and Committees.
Work with the Executive Leadership Team (ELT) to ensure the Board receives comprehensive reports and information to enable it to discharge its governance responsibilities effectively and efficiently.
Be the Assistant Company Secretary for all entities within the Group and perform all related duties ensuring all deadlines are met for related statutory requirements.
Provide advice, support and guidance on the decision making processes and good governance practice to the Chair, Head of Governance & Corporate, Board and Committee members and other colleagues.
Ensure Board/Committee/General Meetings are convened and conducted in line with relevant legislation, the Rules and Standing Orders, including preparing notices and written resolutions.
Ensure the order of business for Boards/Committees/General Meetings, is in line with the Standing Orders.
Develop and oversee the systems that ensure the Group complies with all applicable codes, in addition to legal and statutory requirements, including the maintenance of registers..
Complete all compliance and statutory returns for external bodies, e.g. Companies House, Financial Conduct Authority and Charity Commission, ensuring these are submitted to meet required deadlines.
Manage the recruitment and induction programme for Board Members.
Deliver development and training for Board members as individuals and a collective, including appraisals, skills analysis and succession planning activities.
Ensure that Governance services are customer focused, aligned to the requirements of the business and equip colleagues with the skills to be successful and productive.
To promote equality and diversity amongst our stakeholders, residents, customers, clients, staff, board and committee members and all those we work with.
Manage resources, including budget, people and equipment.
Knowledge, Skill & Experience Required
Educated to degree level or equivalent experience working within governance
Experience of working at a senior level managing governance and providing Company Secretarial support in a regulated environment
Experience of servicing Boards and Committees
Technical up to date knowledge and understanding of company law, charities law, regulatory requirements and the range of accountabilities for the sector, and of key issues and future challenges for governance in the sector.
Deep understanding of the fundamental principles of good governance and the role of governance in delivering business purpose.
Experienced, skilled and confident in engaging Boards and Executives to reflect and to review, and ensure their continuing effectiveness as the business and operating structures change.
Maintain a high level of technical knowledge and understanding in respect of legal, regulatory and best practice expectations of Governance.
Experienced and professional communicator with the gravitas and integrity to influence key stakeholders, and build relationships.
Demonstrable track record of supporting Boards and Committees to enable fulfilment of governance obligations e.g. understanding of Board Meeting protocols and decision making processes.
Understanding of corporate governance and compliance.
Excellent communication and presentation skills appropriate to a wide range of individuals and groups.
Excellent organisational skills and attention to detail.
Chartered Governance Institute (formerly ICSA) qualification (or similar) desired.
