Role Overview:
As the Non-Executive Legal Director, you will play a pivotal role in ensuring the legal health and compliance of Ludvig Group. You will be responsible for overseeing all legal matters, providing strategic legal advice, and assisting in acquisition deal structuring, with the ultimate goal of preparing the company for a successful IPO or exit strategy.
Key Responsibilities:
Legal Advisory:
Provide expert legal advice on a wide range of corporate matters, including mergers and acquisitions, corporate governance, and compliance.
Contract Drafting:
Draft and review all legal contracts, including Articles of Incorporation (AOI), employment contracts, purchase and sale agreements (PSAs), and letters of intent (LOIs).
Acquisition Deal Structuring:
Collaborate with the investment team to structure acquisition deals that minimize legal risks and maximize value.
Legal Due Diligence:
Conduct or oversee legal due diligence on potential acquisition targets, identifying potential legal risks and liabilities.
Regulatory Compliance:
Ensure compliance with all relevant UK laws and regulations, including data protection, competition law, and employment law.
Dispute Resolution:
Provide legal counsel and representation in any legal disputes or litigation.
Corporate Governance:
Advise on corporate governance matters, ensuring compliance with best practices and regulatory requirements.
IPO Readiness:
Prepare the company for a successful IPO, including legal and regulatory considerations.
Qualifications and Experience:
Minimum 20+ years
of experience as a transactional attorney, preferably with a focus on corporate law, mergers and acquisitions.
Qualified as a solicitor in England and Wales.
Strong expertise in UK corporate law, with a deep understanding of relevant regulations and case law.
Proven track record in advising on complex M&A transactions, including due diligence, negotiation, and deal structuring.
Excellent communication and interpersonal skills, with the ability to effectively collaborate with cross-functional teams.
Desired Skills:
Experience in the healthcare industry is preferred but not essential.
Familiarity with IPO preparation and processes.
Proficiency in contract drafting and analysis.
