Role Summary: Reporting to the Group General Counsel ( GC ), the Senior Legal Counsel (Interim) ( SLC ) will work primarily with the Capital Markets business advising the Head of Hedge Fund Solutions and their team as they develop and grow this part of our business. The SLC will be responsible for managing the legal, risk and compliance aspects of CoinShares current and expanding capital markets activities, advising on the structuring and establishment of derivative, structured and loan products and developing strategies to manage regulatory changes affecting the Group. This is a broad based, senior role requiring the candidate to work closely with the business to advise on legal, commercial and regulatory matters impacting the Group s digital asset trading activities. The SLC will be expected to quickly build and manage strong relationships across all business teams and functions. The SLC will have the opportunity to liaise with a variety of stakeholders including board, Ex Co, clients and senior advisors for the duration of the contract. The SLC will have trained and qualified at a top City law firm, have circa 5-10 years PQE advising international banks as well as buyside institutions including corporates and funds in a variety of derivatives, structured products and structured finance transactions across a wide range of asset classes. Experience in digital assets custody and lending would be a plus. The SLC must provide hands-on, commercially focused legal advice, ensuring no areas of the business carry unnecessary reputational, regulatory or other legal risk and that the Group retains its leading-edge credentials. The postholder will thrive in a cutting edge, entrepreneurial environment, be adept at managing change and comfortable with ambiguity in a highly regulated sector. Duties & Responsibilities: Advisory To structure, draft, negotiate and review various triparty, securities and trading agreements, including Account Control Agreements, ISDA, GMRA, GMSLA, PBA and others. To advise on digital assets specific loan structuring and documentation including refinancing and restructuring. To manage legal risk and cross-border issues, in particular in relation to innovative hedging and financing structures, new product development and growth opportunities. To monitor and advise upon various legal and regulatory matters related to the trade of financial products, particularly MIFID, SFTR and ICMA regulations. To provide legal advice to the Head of Hedge Fund Solutions on derivatives, debt and asset-backed securities, and various other financial products. To also advise and work through various legal issues related to the purchase and trade of these products. To create an internal legal database of capital markets specific templates, know-how and policies with a view to creating efficiencies and progressing the legal infrastructure. Work with the GC to ensure the Group maintains the highest standards of legal, regulatory compliant and ethical behaviour, balancing company performance against corporate integrity. Source and provide commercial focussed advice on a wide range of structured finance and derivatives related legal matters as they relate to digital assets, collateral, financial regulation, investments, prospectuses, shareholder agreements, funds and exchange traded products. Provide legal analysis of and apply drafting skills to a wide range of contractual matters with autonomy (with support from the GC as required), demonstrate an understanding of the wider commercial issues and determine when outsourcing is appropriate. Support the Capital Markets business by providing solutions to practical legal issues (sometimes involving multiple jurisdictions and untested areas of law around digital assets and decentralised finance) in a time pressurized environment. Assist on regulatory and governance arrangements, policies and procedures, and the implementation of these across the Group. Partner with Compliance to monitor and highlight current and forthcoming laws which may affect or have impact on Group s Capital Markets business. Risk and Reporting Assist the Head of Hedge Fund Solutions and GC in the preparation of comprehensive reports on the progress of legal and regulatory matters. Work closely with the Compliance function, to identify risk and reputational issues, assessing the relative level of the threat and propose an appropriate course of action to the GC and Head of Hedge Fund Solutions. Support the Capital Markets business in their understanding of and contribution to risk management and mitigation, particularly in light of the Group s public listing and its continuing obligations. Assist with the provision of training to the Capital Markets team on key legal risks and developments to raise awareness around their legal duties and obligations. Resources Co-ordinateand manage legal inputs from third party or internal resources to assist in the delivery of projects on time and to budget, ensure that external resources are delivered in an agile way, have relevant subject matter expertise and have had sufficient brief on the Group s requirements. Scrutinise legal fees and bill narratives, and ensure they represent good value for money and are commensurate with the tasks, risk level and the seniority of fee earner resource deployed. Undertaking any other such duties as may be reasonably required by the role. Qualifications, Skills & Experience: Previous experience in house at an asset manager, investment bank or Fintech company is a requirement. A UK qualified Solicitor (or equivalent), having trained at a top City law firm, with between 5 and 10 years post qualified experience in derivatives and structured products and with a good understanding of securitisation and the taking collateral is essential. In depth knowledge and experience in delta-one and vanilla non-linear derivatives and associated documentation including ISDA, GMRA, GMSLA etc. is required. Knowledge of debt and equity financing documentation (including warrants, convertible bonds, and straight bonds) including laws relating to areas such as share disclosure and material non-public information would be an advantage but not essential. Experience of corporate finance, corporate governance and regulatory matters is an advantage but not required. Experience of Exchange Traded Products or Crypto assets would be an advantage but not essential. Experience of advising on funds and offshore experience would be an advantage but not essential. Established credentials as a legal project manager, able to run numerous transactions, including on a cross-border basis, and manage multi-jurisdictional matters is essential. Experience managing external counsel and effectively controlling their costs is essential. Resilient, outcomes oriented and adaptable to a rapidly changing environment in a cutting-edge industry is essential. Ability to operate with ambiguity and navigate smaller, dynamic businesses or smaller entities within larger corporates is essential.
