Senior Legal Counsel - Leading Investment Manager

Our ClientWe are currently partnered with a world leading, Global Investment Manager who are looking for a strong senior legal counsel. The role will include negotiating and agreeing SMAs, acting on fund establishments, negotiating joint venture agreements and acting on real estate acquisitions and dispositions, financing, development transactions, and property-level operational matters.Key ResponsibilitiesProvide legal support to facilitate vertically integrated investment management model, including with respect to real estate acquisitions and dispositions, financings, development transactions, and property-level operational matters.Oversee the structuring of investment programs such as commingled funds and separate accounts (including negotiations with investors and clients) and assist with employment, regulatory, litigation, corporate governance, fund-level compliance and risk management matters.Advise, review, and work with local counsel on secondaries, fund reviews, and side letter in relation to fund transfers, and fund investments on behalf of clients on the Indirect side of the business.Work with external counsel, and other advisors, on joint venture agreements, and accompanying ancillary documents, and advise internal stakeholders in relation to the same.Assist with the preparation, review, and/or negotiation of contracts, agreements and other legal documentation required for investment and operations activities of the firm’s direct and indirect business lines.Coordinate external counsel and other external advisors and service providers as necessary to provide supportive and specialty legal services, and review and track costs and expenses against budgets.Work constructively with other internal divisions necessary for transaction structuring, evaluation, and consummation, including tax, finance, compliance, investor relations, and portfolio management teams.Work with the wider legal team globally to develop best practices and ensure consistency relating to investor negotiations, operating policies, deal terms, agreements, and other practices.Experience RequirementsCirca 5-8 years of post-qualification experience in a top-tier international law firm, including experience in the areas of real estate private equity, real estate and/or investment management. In-house legal or secondment experience (preferred but not essential). Practical-minded business focused who is a team player, enthusiastic, energetic, pro-active, responsive and service-driven.Excellent legal drafting skills and the ability to understand complex legal issues and recommend and implement strategies, decisions, and solutions.Good working knowledge of global regulatory requirements and tax structuring applicable to the real estate investment management business.Strong interpersonal skills to establish and build internal and external relationships, manage vendors and service providers, and effectively interact with executives, senior-level management groups, clients and other team members.Due to the high volume of applications, if you haven’t heard back from the team on this role, unfortunately your application has been unsuccessful.
