About the role This pivotal role will be the most senior legal person in the organisation, providing legal guidance across multiple jurisdictions, including the UK, Germany, France, and Ireland. Reporting directly to the Chief Medical Officer (CMO), you will serve as the sole legal counsel, collaborating e closely with various departments to ensure legal compliance and mitigate risks. Day to day the work will encompass: Legal advisory and strategy: - Provide sound legal advice to senior leadership on a broad range of legal issues, including corporate, commercial, intellectual property, privacy, marketing and regulatory matters - Shape ZAVA's legal strategies, manage risk, and ensure compliance with applicable laws and regulations Contract Management: - Draft, review, and negotiate a variety of commercial agreements, including service agreements, collaborations, licensing agreements, and vendor contracts - Ensure contracts align with ZAVA s goals and minimise legal risks Corporate Governance: - Provide guidance on corporate governance matters, including board meetings, corporate policies, and compliance with relevant regulations including filings with the Companies House - Manage corporate governance documents, ensuring compliance with legal requirements. Regulatory Compliance: - Stay current with relevant industry regulations and laws impacting the health tech sector - Develop and maintain compliance programs to ensure adherence to applicable regulations and standards. - Take ownership of legal and privacy policies and continue to maintain and update Intellectual Property: - Manage the company's intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets - Advise on intellectual property protection strategies and potential infringement risks Employment, Litigation and Risk Management: - Identify potential legal risks and develop strategies to mitigate them - Oversee litigation and employment matters and work with external counsel as necessary. Privacy and Data Security: - Manage data protection compliance, ensuring appropriate processes and policies are in place. - Ability to use OneTrust or similar tools to ensure compliance with data protection across all ZAVA entities. - Work collaboratively with internal and external advisors in relation to data protection compliance. - Collaborate with relevant teams to implement and maintain robust data security practices, working closely with IT security to maintain compliance and renewal of certification such as ISO. Insurance: - Work closely with finance to ensure appropriate insurance policies are obtained and take part in the renewal process. For this role you need to be/have: -Be a qualified lawyer in the England and Wales with at least 4 years experience - Background in healthcare, healthcare technology, regulatory compliance and data protection - Experience in legal drafting and negotiation - Experience managing and leading legal and risk and compliance initiatives - Excellent communication, and interpersonal skills - Ability to work in a fast-paced, dynamic environment - Demonstrated strategic thinking and problem-solving abilities - Proven knowledge and experience with GDPR/e-privacy It would also be advantageous to be/have: - In house experience - Experiences in e-commerce, marketing and consumer law - Knowledge of Irish, French or German laws - Knowledge of the G Suite - Knowledge of OneTrust or similar tools - Ability to speak French and/or German Benefits from the day you join: 25 days holiday + bank holidays + Birthday day off Healthcare cash back plan through SimplyHealth Access to SimplyHealth advice, counselling and corporate discounts Discount on all services on the ZAVA website Remote flexible working Macbook Pro Dog friendly office Flexible bank holidays - take the ones that matter the most to you Additional benefits following probation period: £500 training budget per year (after 3 months) Company sabbatical after 2 years Opportunity to work from overseas for 2 months each year Cash vouchers after 3, 5 and 10 years of service We are working hard to try andlevel the playing field wherever we can.
